Acceptance of Terms

By accessing or using the Muxow marketing website at muxow.com (the "Website") or the Muxow application and service (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Website or the Service. Muxow, LLC ("Muxow," "we," "us," or "our") provides hotel operations software for hotels, hotel groups, chains, and management companies, designed to work alongside existing hotel systems.

Use of the Website

The Website is provided for informational purposes about Muxow and our hotel operations software. You may browse the Website, submit demo requests, schedule demos, and contact us through the provided forms.

Use of the Service

The Service is made available to hotels and their authorized users for managing daily hotel operations. Access may also be governed by a separate order form or agreement provided during account creation. If there is a conflict between these Terms and a signed agreement, the signed agreement controls for that account.

Hotel Account Responsibilities

A hotel, hotel group, or management company that holds a Muxow account (the "Hotel") is responsible for:

• Maintaining the accuracy of its account information
• Managing its authorized users and their access
• The activity that occurs under its account and users
• Ensuring its use of the Service complies with applicable laws
• The data its users enter, including guest, staff, communication, and operational records

Authorized Users, Roles, and Permissions

The Hotel may invite authorized users such as managers and staff and assign roles and permissions that determine what each user can access. The Hotel is responsible for configuring these roles appropriately, keeping credentials confidential, and promptly removing access for users who should no longer have it. Each user is responsible for using the Service in line with these Terms and the Hotel's policies.

User Content and Operational Data

The Hotel and its users retain ownership and control of the operational data they enter or generate in the Service, including assignments, shift reports, messages, photos, attachments, guest recovery records, inventory, budget, reports, and related records. The Hotel grants Muxow a limited license to host, process, and use this data solely to provide, secure, maintain, and improve the Service, and as otherwise permitted in our Privacy Policy.

Communication Features and Consent

Where enabled, the Service may include features that send SMS, voice, and email communications through providers such as Twilio, Resend, and Microsoft 365. The Hotel is responsible for using any such features lawfully, including obtaining any consent required to contact guests or staff and honoring opt-out requests. Muxow is not responsible for communications a Hotel chooses to send through the Service.

Payment Terms

Where the Service is offered for a fee, fees, billing frequency, and any minimums are described at sign-up or in an applicable order form. Payments may be processed by Stripe. Unless stated otherwise, fees are non-refundable except as required by law. We may update pricing on a going-forward basis with reasonable notice.

Cancellation and Subscription Changes

Subscriptions, upgrades, downgrades, and cancellations are handled as described at sign-up or in an applicable order form. Cancellation stops future billing; it does not entitle you to a refund of fees already paid unless required by law or expressly agreed.

Pilot and Beta Programs

From time to time we may offer pilot, early access, or beta features. These are provided "as is," may change or be discontinued, and may have different or additional terms communicated at enrollment. Beta features may be less stable than generally available features.

Service Availability

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. The Service may be affected by maintenance, updates, or factors outside our control.

Suspension and Termination

We may suspend or restrict access to the Website or Service if we reasonably believe there is misuse, a security risk, nonpayment, or unlawful use, or as needed to protect the Service, its users, or third parties. Where practical, we will aim to provide notice.

Acceptable Use and Prohibited Conduct

When using the Website or the Service, you agree not to:

• Scrape, crawl, or collect data using automated tools without our permission
• Interfere with or disrupt the operation of the Website or Service
• Submit false, misleading, or spam content through our forms or the Service
• Attempt to gain unauthorized access to any account, data, or part of the Website or Service
• Access data belonging to another hotel or property you are not authorized to access
• Use communication features to send unlawful, harassing, or non-consented messages
• Copy, reproduce, or redistribute our content or software without our written permission
• Use the Website or Service for any unlawful purpose

Intellectual Property

The Website and Service, including their text, graphics, logos, images, software, and underlying technology, are the property of Muxow, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership in the Website or Service. This does not affect the Hotel's ownership of its own operational data. You may not use, copy, or distribute our content or software without our prior written consent.

Accuracy of Information

We make reasonable efforts to ensure the information on the Website is accurate and up-to-date. However, we do not guarantee the completeness, accuracy, or reliability of any content. Product features, pricing, and availability are subject to change without notice.

Third-Party Links

The Website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of any third-party sites. Your use of third-party sites is at your own risk.
